Terms of Service

This End User License Agreement (collectively, the "Agreement") govern your ("you" or "your") use of any webpages or related content, functionality, or software (collectively, the "Services") provided to you by MakeLoveNotPorn, LLC (collectively, "MLNP", "we", "us", or "our"). By indicating your acceptance of this Agreement, you hereby agree to be bound by this Agreement for as long as you use the Services.

PRIVACY NOTICE: We do not collect, process, or disclose any personal information, but our third-party payment processors may engage in such practice, subject to their privacy policy.

1. DEFINITIONS

"Educator" means an individual that provides Educator Content through the Services.

"Educator Content" means all educational content that Educators provide through the Services, which includes text, images, videos, marketing and advertising materials, brands, logos, photographs, blog posts, or similar content.

"Paid Educator Content" means any Educator Content that is for sale, as opposed to Educator Content that is made available to you for free.

"Intellectual Property" means any and all rights, titles, and interests in and to any copyrights, trademarks, logos, trade names, domain names, social media accounts, data, databases, source code, trade secrets, patents, image and likeness rights, and all other proprietary rights issued, honored, or enforceable under any applicable laws anywhere in the world, whether registered or unregistered, and all applications thereto.

2. SERVICES

2.1 MLNP Services

The MakeLoveNotPorn Academy is a digital platform intended to help shape the future of healthy sex education. Subject to the terms of this Agreement, you may access and use all Educator Content made available through the Services. All Educator Content has been approved by humans in accordance with our guidelines (available here).

2.2 Account Registration

The Services may require you to create an account with us (an "Account"). An Account is required to access the Services or some portions or features thereof. When creating an Account, you must provide accurate and complete information, and you must promptly keep this information updated. You alone are responsible for keeping confidential your Account credentials. If you discover or otherwise suspect any unauthorized access to or use of your Account, please let MLNP know immediately so that we can take remedial measures, including by suspending the Account. If you do not inform MLNP of your Account being compromised, MLNP will not be liable for the unauthorized access, unless such unauthorized access is caused by MLNP's own data breach.

2.3 Modifications of this Agreement

MLNP may need to, from time to time, update the terms of this Agreement. Prior to any such update coming into effect, MLNP will give you thirty (30) calendar days' advance notice through your Account dashboard and to your email address associated with your Account. If you wish to dispute any updates to this Agreement, you may reject the updated terms and continue using the Services under the then-current set of terms, provided that you agree to discuss with MLNP, in good faith, your objections to the new terms.

2.4 Purchases and Payment

Through the Services, MLNP may enable you to purchase Paid Educator Content using your Account. When you provide a payment card or other payment method to MLNP to make a purchase, you represent to MLNP that you are the authorized user of the payment method, and you authorize MLNP to charge your payment method for the purchase amount, including sales taxes, VAT, or other applicable taxes. You are responsible for all purchases made through your Account. You understand and acknowledge that in addition to any restrictions detailed herein, your use of any Paid Educator Content is subject to any conditions or restricted communicated to you by the relevant Educator.

2.5 Refunds

The refund policy is set forth here. This refund policy shall be considered part of this Agreement.

3. LICENSE GRANT

As between MLNP and you, no intellectual property rights are transferred under this Agreement. MLNP grants you a personal, non-exclusive, non-transferable, non-sublicensable right and license to use the Services and the Educational Content for: (i) your personal, non-commercial use; and (ii) educational and academic purposes. The foregoing license, with respect to Paid Educator Content, is contingent upon you paying the associated fees.

4. RESTRICTIONS

4.1 Restrictions on Use

You may not do any of the following with respect to the Services, Educational Content, or any of their parts: (a) use them commercially or for a promotional purpose; (b) copy, reproduce, display, perform, or otherwise use them in a way that is not expressly authorized in this Agreement; (c) sell, rent, lease, license, distribute, or otherwise transfer them; (d) reverse engineer, derive source code from, modify, adapt, translate, decompile, or disassemble them or make derivative works based on them; (e) remove, disable, circumvent, or modify any proprietary notice or label or security technology; (f) use them to infringe or violate the rights of any third party, including but not limited to any intellectual property, publicity, or privacy rights; (g) use, export, or re-export them in violation of any applicable law or regulation; or (h) behave in a manner which is detrimental to the enjoyment of the Services by other users.

5. INTELLECTUAL PROPERTY

5.1 Ownership of the Services

Except with respect to Educator Content, MLNP owns all right, title, and interest in and to the Services, including but not limited to all information, services, logos, images, trademarks, graphics, or software associated with the Services, as well as any and all Intellectual Property Rights to the foregoing.

5.2 Ownership of Educator Content

You acknowledge that the relevant Educator is the legal owner of all right, title, and interest in and to any applicable Educator Content.

5.3 Ownership of Feedback

MLNP will own all right, title, and interest in any suggestions, ideas, enhancement requests, feedback, or recommendations, or other information provided by you concerning or relating to the Services ("Feedback"), all of which are hereby assigned to MLNP by you.

6. YOUR REPRESENTATIONS AND WARRANTIES

6.1 Compliance with Laws

You and MLNP agree to comply with all applicable local, state, national, and foreign laws in connection with your use of the Services.

6.2 Authority

You represent and warrant that you have the power and authority to enter into and be bound by this Agreement.

7. TERMINATION

7.1 Term of Agreement

The term of this Agreement shall begin upon your acceptance of this Agreement and shall continue until terminated by either party as outlined in this Section or until you cease using the Services.

7.2 Termination

MLNP shall have the right to terminate this Agreement at any time with thirty (30) calendar days' prior written notice to you. Such notice shall be sent to the email address associated with your Account. Upon termination of the Agreement, MLNP will remove your access to the Services, including by suspending or deleting the applicable user account. You may terminate this Agreement by deleting your user account.

7.3 Effect of Termination

In the event of a termination of this Agreement, any right you may have had to any user account or associated digital materials shall be forfeit.

8. WARRANTIES

8.1 Warranty Disclaimer

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, MLNP EXPRESSLY DISCLAIMS ANY AND ALL OTHER WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE AND AGREE THAT THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND MLNP MAKES NO OTHER WARRANTY AS TO THE SERVICES. MLNP EXPRESSLY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR: (1) THE SERVICES BEING ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; (2) INJURY OR DAMAGE RESULTING FROM THE WEBSITE; AND (3) VIRUSES, ADWARE, SPYWARE, WORMS, OR OTHER TYPES OF MALICIOUS CODE THAT MAY BE USED IN ANY WAY TO AFFECT THE FUNCTIONALITY OR OPERATION OF THE SERVICES.

9. LIMITATIONS OF LIABILITY

9.1 Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MLNP BE LIABLE TO YOU FOR ANY LOSS, DAMAGE, OR INJURY OF ANY KIND, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE LOSSES OR DAMAGES, OR DAMAGES FOR SYSTEM FAILURE, MALFUNCTION, OR LOSS OF PROFITS, DATA, USE, BUSINESS, GOOD-WILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH: (A) THE SERVICES OR INABILITY TO USE OR ACCESS THE SERVICES; (B) MISUSE OF THE SERVICES (INCLUDING WITHOUT LIMITATION, UNAUTHORIZED ACCESS OF THE SERVICES); (C) ANY OTHER USER'S OR THIRD PARTIES' CONDUCT ON THE SERVICES; OR (D) TERMINATION, SUSPENSION, RESTRICTION, OR OTHERWISE LIMITATION OF ACCESS TO THE SERVICES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF MLNP, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO MLNP, IF ANY, IN CONNECTION WITH PAID EDUCATOR CONTENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER. TO THE EXTENT THAT APPLICABLE LAW PROHIBITS LIMITATION OF SUCH LIABILITY, MLNP SHALL LIMIT ITS LIABILITY TO THE FULL EXTENT ALLOWED BY APPLICABLE LAW.

10. INDEMNIFICATION

10.1 Indemnification by You

If a third party makes a claim against MLNP or its directors, officers, agents, representatives, licensors, and employees (collectively, the "MLNP Indemnitees") as a result of: (i) your use or misuse of the Services; (ii) your violation of these terms; or (iii) any breach or non-performance of any representation, warranty, covenant, or agreement made by you, you shall indemnify, defend, and hold harmless the MLNP Indemnitees against the claim at your sole expense, and you shall pay all losses, damages, and expenses (including reasonable attorneys' fees) levied against the MLNP Indemnitees. MLNP agrees to promptly notify you of any such third party claims.

11. GENERAL PROVISIONS

11.1 Assignment

You may not assign this Agreement or any right under this Agreement. Subject to the foregoing, the rights and liabilities of the parties hereto are binding on, and shall inure to the benefit of, the parties and their respective successors and permitted assigns. Any attempted assignment other than in accordance with this Section shall be null and void.

11.2 Severability

If any term of this Agreement is held to be invalid or unenforceable pursuant to a final judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable. In the event of such partial invalidity, the Parties shall seek in good faith to agree on replacing any such legally invalid provision with a valid and enforceable provision which shall most nearly and fairly reflects the Parties' intent in entering into this Agreement.

11.3 Governing Law

This Agreement and the rights and obligations of the parties shall be governed and construed in accordance with the substantive laws of the State of New York, United States, without regard to the conflict of laws principles thereof or of any other jurisdiction.
